Report T&Cs

Research Ratings Limited of Courthill House, 60 Water Lane, Wilmslow, Cheshire, SK9 5AJ, UK (“Research Ratings”) agrees to supply access to specified presentation reports (“The Service”) to paying clients ("Client") and associated authorised users (“Authorised Users”). Unequivocal acceptance of all of the terms and conditions is required to become a Client or Authorised User and continued acceptance of this agreement is a condition of continued access.

1. Service and authorised user
A Client has access to the purchased presentation reports according to the type of licence purchased; single licence, or country licence. A single licence will permit a single user only. The number of Authorised Users for a country licence is not limited in number, but is limited in qualification such that the Authorised User must ordinarily work for the same company (legal entity) as the Client, work and reside in the same country as the Client, and be on the same payroll as the Client.

2. Licence and payment
2.1. Subject to these Terms and Conditions, Research Ratings hereby grants the Client and the Authorised User the non-exclusive and non-transferable right to access and use the Service.

2.2. For a single or country licence, access to the Service shall commence as soon as the fee is received from the Client. Access is provided by means of electronic delivery of a pdf file.

2.3. The fee will be the advertised price plus UK Value Added Tax, if applicable.

2.4. Research Ratings may change or discontinue any aspect of the Service at any time, including its content or features. Research Ratings reserves the right to change the terms and conditions applicable to use of the Service. 

3. Permitted Uses
The right to access granted at Clause 2.1 above permits the Client and Authorised User to view, retrieve, display, download or print the information included in the Service for personal internal business purposes only.

4. Prohibited Uses
The licence granted at Clause 2.1 above does not allow the Client or Authorised User to:

4.1. Rent, assign, transfer or sublicence the Service.

4.2. Systematically make copies, paper, electronic or otherwise, of extracts of the information included in the Service for any purpose.

4.3. Provide information contained within the Service, by paper, electronic means or otherwise, to someone who is not a Client or an Authorised User.

4.4. Mount or distribute any part of the information included in the Service on any electronic network or otherwise, including without limitation the internet or otherwise publish, broadcast or display any such information in public, except with Research Ratings’ explicit prior written.

5. Intellectual property protection
The content of the Service is owned by Research Ratings and is protected by international copyright and other intellectual property laws. Research Ratings reserves all rights, not expressly granted herein, and the Client and Authorised User shall have no rights, title or interest in or to the Service other than the limited license granted expressly hereunder. This license and the right to use the Service terminate automatically if the Client or Authorised User violates any part of this agreement.

6. Undertakings and warranties
6.1. Research Ratings shall use all reasonable endeavours to ensure that its server has adequate capacity and bandwidth to support the usage of the Client and Authorised User.

6.2. Research Ratings makes no warranties with respect to the Service and/or information contained therein. Although Research Ratings intends to take reasonable steps to screen uploaded files for infection by viruses, worms, "trojan horses", or other code manifesting contaminating or destructive properties before making such files available for Client downloading, Research Ratings cannot guarantee that any file available for downloading will be free of infection. Accordingly, Research Ratings cannot and does not guarantee or warrant that such files will be free of such properties. The entire risk as to the quality and performance of the Service, the quality of any related services, and the accuracy of any information or quality of any software published on the Service is with the Client.

6.3. The Client hereby acknowledges that Research Ratings’ and other hosted publisher’s future publishing schedules are subject to modification from time to time, in common with standard industry practice.

6.4. The Client hereby acknowledges that the Service should be used for general guidance only, and does not constitute the provision of legal advice, accounting services, investment advice, or professional consulting of any kind. The information provided therein should not be used as a substitute for consultation with professional tax, accounting, legal, or other competent advisers. Before making any decision or taking any action, a professional adviser who has been provided with all pertinent facts relevant to the particular situations should be consulted.

6.5. The Client agrees that the Service is provided “as is”; Research Ratings makes no representation or warranty with respect to the accuracy, completeness, or currentness of the information included in the services; and Research Ratings specifically disclaims any other warranty, express or implied or statutory, including any warranty of merchantability or fitness for a particular purpose. Research Ratings shall not be liable on account of any such errors, omissions, delays, or losses. The Client agrees that in no event will Research Ratings be liable for the results of the Client’s use of the Services, the Client’s inability or failure to conduct its business, or for indirect, special, consequential, or exemplary damages (even if advised of the possibility of such damages) arising from the use of or inability to use the Services or any other provision of this agreement, such as, but not limited to, loss of revenue, anticipated profits or business, or the cost of procuring substitute services. In the event any law regarding exclusion or limitation of warranties or damages may limit the applicability of the above limitations, the total aggregate liability of Research Ratings for any claims, losses or damages shall not exceed the fee paid by the Client for the Service.

7. Termination
Research Ratings retains the right to terminate the Service at any time, without warning or compensation if it suspects violation of the licence agreement, with particular regard to usage inconsistent with the license purchased, and evidence of prohibited usage in 4 above, or if payment conditions in 2 above are not fulfilled by the Client. The provisions regarding payment, disclaimer of warranty, accuracy of information, and general indemnification shall survive.

8. General
The agreement shall be governed by and construed according to the laws of England and the parties agree to submit to the exclusive jurisdiction of the English Courts.
